Terms & Conditions

Terms of Use

Effective date: 04/08/2026

These Terms of Use govern your access to and use of the EngiSolveAI website, services, software, artificial intelligence products and custom AI solutions.

Please read these Terms carefully before using our website or purchasing or using any Services. By accessing the website, creating an account, requesting a quotation, accepting a proposal, placing an order or using any Service, you agree to be bound by these Terms.

  1. About EngiSolveAI

The website at https://engisolveai.com is operated by EngiSolveAI:

In these Terms, “EngiSolveAI”, “we”, “us” and “our” refer to the entity identified above.

“You” and “your” refer to the individual or organisation accessing the website, purchasing a Service or using an AI Product.

  1. Scope of these Terms

These Terms apply to:

  1. your use of the EngiSolveAI website;
  2. enquiries, demonstrations and consultations;
  3. engineering, design, modelling, simulation and automation services;
  4. custom AI solutions and AI agents;
  5. software, digital content, subscriptions and hosted services;
  6. support, maintenance, integration and implementation services; and
  7. any related deliverables supplied by EngiSolveAI.

A specific quotation, proposal, statement of work, order form, subscription agreement, licence agreement, data-processing agreement or other written contract may contain additional terms.

Where there is a conflict, the following order of precedence applies:

  1. the signed order form or statement of work;
  2. any signed master services or licence agreement;
  3. any applicable data-processing agreement;
  4. these Terms; and
  5. information appearing elsewhere on the website.
  1. Who may use the Services

Our website and Services are available to businesses and individuals.

Individuals must be at least 18 years old and legally capable of entering into a binding contract.

Where you use the Services on behalf of a company or other organisation, you confirm that:

  1. you have authority to bind that organisation;
  2. the organisation accepts these Terms; and
  3. references to “you” include that organisation.

You must not use the Services where doing so would breach any law, regulation, professional obligation, contractual restriction or applicable sanction.

The precise scope, functions, integrations, deliverables, assumptions, exclusions and acceptance criteria for a custom project will be described in the applicable proposal, order form or statement of work.

  1. Custom AI solutions

Most EngiSolveAI AI Products may be configured or developed for a customer’s specific requirements.

A custom AI solution may include:

  1. workflow analysis and requirements gathering;
  2. system design and configuration;
  3. prompt, agent and knowledge-base development;
  4. connections to customer websites, email, CRM or other systems;
  5. third-party AI models and software services;
  6. testing and evaluation;
  7. deployment, hosting or installation;
  8. user documentation and training; and
  9. maintenance and support.

Customisation does not guarantee that a solution will achieve every desired commercial, engineering or operational outcome.

You are responsible for reviewing and approving the project requirements, workflows, integrations, test scenarios and acceptance criteria before deployment.

  1. Quotations, proposals and orders

Website descriptions and marketing materials are invitations to make an enquiry and do not constitute a binding offer.

A contract is formed when:

  1. we accept your order in writing;
  2. you accept a written proposal or quotation;
  3. both parties sign an order form or statement of work; or
  4. we begin providing the Service at your express request.

Unless stated otherwise, quotations are valid for 30 days.

We may withdraw or revise a quotation before it is accepted.

Any requested change to an agreed scope may require:

  • a revised price;
  • an updated delivery schedule;
  • a change order; or
  • a revised statement of work.

We are not required to perform work outside the agreed scope unless the change has been accepted in writing.

  1. Customer cooperation

You must provide accurate and timely information, data, access, instructions, personnel and approvals reasonably required for us to perform the Services.

You are responsible for:

  1. checking the accuracy and completeness of information supplied to us;
  2. identifying applicable technical, legal and regulatory requirements;
  3. providing suitable test cases and acceptance criteria;
  4. maintaining backups of your systems and data;
  5. obtaining required licences, permissions and consents;
  6. ensuring that your systems meet stated technical requirements; and
  7. reviewing deliverables and reporting issues promptly.

We are not responsible for delays, errors or additional costs resulting from inaccurate information, missing access, delayed approvals or other failures outside our reasonable control.

  1. Accounts and security

Some Services may require an account.

You must:

  • provide accurate registration information;
  • keep your login credentials secure;
  • restrict access to authorised users;
  • notify us promptly of suspected unauthorised access; and
  • ensure that authorised users comply with these Terms.

You are responsible for activity performed through your account unless caused by our failure to use reasonable security measures.

We may require multi-factor authentication or other reasonable security controls.

  1. Prices and payment

Prices will be stated on the website, quotation, proposal, order form or statement of work.

Unless expressly stated otherwise:

  1. prices exclude VAT and other applicable taxes;
  2. invoices are payable within 14 days;
  3. custom projects may require an upfront deposit;
  4. subscription fees are payable in advance;
  5. usage-based fees are calculated from recorded usage; and
  6. third-party charges may be billed separately.

You must pay all undisputed invoices by the due date.

For business customers, overdue amounts may accrue interest and reasonable recovery costs to the extent permitted by law.

We may suspend work or access to a Service where an undisputed payment remains overdue after reasonable notice.

  1. Consumer cancellation rights

This section applies only where you are acting as a consumer.

Where applicable law gives you a right to cancel a distance contract, we will provide the required cancellation information.

Where you request that a service begins during a statutory cancellation period:

  1. we may ask for your express request;
  2. you may have to pay for work performed before cancellation; and
  3. your cancellation rights may be affected once the Service has been fully performed.

Where digital content is supplied immediately, we may ask you to:

  1. expressly consent to supply beginning before the cancellation period expires; and
  2. acknowledge that this may cause you to lose the applicable cancellation right.

Nothing in these Terms limits any cancellation, refund, repair, repeat-performance or price-reduction right that cannot lawfully be excluded.

Custom or bespoke work that has already been performed will be handled in accordance with applicable consumer law and the information supplied to you before purchase.

  1. Subscriptions and renewals

Where a Service is supplied on a subscription basis, the applicable order will state:

  • the subscription period;
  • the price and billing frequency;
  • any minimum commitment;
  • renewal arrangements;
  • usage limits; and
  • how the subscription may be cancelled.

We will not impose an automatic renewal on a consumer unless the renewal arrangement has been clearly disclosed.

Subscription fees already paid are non-refundable except where required by law or expressly stated in the applicable order.

  1. Licence to use AI Products

Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the relevant AI Product for your internal personal or business purposes during the agreed term.

Unless expressly authorised in writing, you must not:

  1. resell, sublicense or commercially distribute the AI Product;
  2. provide the AI Product as a service to third parties;
  3. copy or reproduce proprietary software;
  4. reverse engineer, decompile or attempt to extract source code;
  5. remove copyright, trade mark or ownership notices;
  6. bypass technical restrictions or security controls;
  7. use the AI Product to build a competing product;
  8. scrape or systematically extract the Service’s contents;
  9. probe or test the Service for vulnerabilities without permission; or
  10. access the Service using automated means that exceed agreed limits.

Authorised employees, contractors and professional advisers may use a business customer’s account where permitted by the applicable subscription or order.

  1. Acceptable use

You must not use the website, Services or AI Products:

  • for unlawful, fraudulent or deceptive purposes;
  • to infringe intellectual property, privacy or confidentiality rights;
  • to create, distribute or facilitate malicious software;
  • to gain unauthorised access to systems or data;
  • to send unlawful spam or unsolicited marketing;
  • to impersonate another person or organisation;
  • to generate discriminatory, abusive or defamatory material;
  • to exploit or harm children or vulnerable persons;
  • to facilitate violence, terrorism or criminal activity;
  • to violate export controls or sanctions;
  • to interfere with the operation of the Services; or
  • in any manner reasonably likely to damage EngiSolveAI, its suppliers, customers or users.

You must not intentionally submit instructions, files or data designed to manipulate, compromise or extract confidential information from an AI Product.

  1. AI outputs and limitations

AI-generated outputs are produced using statistical, computational or rules-based systems. Outputs may be incomplete, inaccurate, outdated, inconsistent or unsuitable for your particular circumstances.

AI Products may not understand all relevant context, assumptions, standards, physical conditions, contractual requirements or regulatory obligations.

You must independently review AI outputs before relying on them.

AI outputs must not be treated as:

  1. a guaranteed fact;
  2. a professional certification;
  3. a regulatory approval;
  4. an engineering sign-off;
  5. a safety approval;
  6. legal, medical, financial or tax advice; or
  7. a substitute for qualified professional judgement.

Any examples, calculations, recommendations, classifications, simulations or reports produced by an AI Product must be checked by an appropriately qualified person where the output may affect safety, compliance, financial interests or legal rights.

  1. Engineering and safety-critical use

Unless expressly agreed in a signed statement of work, AI Products must not be used as the sole basis for:

  • structural certification;
  • engineering design approval;
  • finite element model approval;
  • material or component release;
  • safety-case approval;
  • construction or manufacturing sign-off;
  • machinery-control decisions;
  • electrical protection decisions;
  • process-safety decisions;
  • maintenance deferral;
  • inspection or failure disposition;
  • regulatory compliance confirmation; or
  • any other safety-critical decision.

You are responsible for ensuring that qualified engineers, designers or other professionals review relevant assumptions, calculations, standards, boundary conditions, models and outputs.

The customer remains responsible for final design authority, professional sign-off, certification, verification and validation unless a signed agreement expressly allocates a specific responsibility to EngiSolveAI.

  1. Automated decisions affecting individuals

You must not use an AI Product to make a solely automated decision that produces legal or similarly significant effects on an individual unless:

  1. the use is lawful;
  2. appropriate notices have been provided;
  3. required assessments have been completed;
  4. meaningful human oversight is maintained;
  5. affected individuals can obtain appropriate information;
  6. applicable rights to challenge or request human intervention are respected; and
  7. the use has been expressly approved under the applicable order.

This restriction includes significant decisions relating to employment, recruitment, credit, insurance, housing, education, healthcare, access to essential services or similar matters.

  1. Customer data

“Customer Data” means information, documents, prompts, files, designs, drawings, models, personal data and other materials supplied by or on behalf of a customer.

You retain ownership of your Customer Data.

You grant us a limited licence to host, copy, process, transmit, adapt and otherwise use Customer Data only as reasonably necessary to:

  1. provide the Services;
  2. maintain security;
  3. prevent misuse;
  4. provide support;
  5. comply with law; and
  6. perform obligations under the relevant contract.

You confirm that:

  • you have the right to provide the Customer Data;
  • our permitted use will not infringe third-party rights;
  • the Customer Data has been collected lawfully;
  • required privacy notices have been issued;
  • required consents or other lawful grounds are in place; and
  • the Customer Data does not contain unlawful material.
  1. Confidential information and model training

Each party must protect the other party’s confidential information using reasonable care and must use it only for the relevant contractual purpose.

Confidential information does not include information that:

  1. is publicly available without breach of confidence;
  2. was lawfully known before disclosure;
  3. is received lawfully from another source; or
  4. is independently developed without using the confidential information.

Unless expressly agreed otherwise in writing, we will not use identifiable Customer Confidential Information to train a general-purpose AI model made available to unrelated customers.

We may use aggregated or anonymised operational information that does not identify the customer or disclose confidential information to improve security, reliability and service performance.

  1. Personal data

Each party must comply with applicable data-protection laws.

Our Privacy Policy explains how we process personal data in connection with the website, enquiries, accounts and our own business activities.

Where we process personal data on your behalf, the parties may enter into a separate data-processing agreement covering:

  • the subject and duration of processing;
  • processing instructions;
  • categories of data and individuals;
  • confidentiality;
  • security measures;
  • subprocessors;
  • international transfers;
  • assistance with individual rights;
  • incident notification;
  • deletion or return of data; and
  • audit information.

You must not provide special-category, criminal-offence, highly sensitive or safety-critical personal data unless the processing has been expressly agreed and appropriate safeguards are in place.

  1. Intellectual property

All intellectual property rights in the website, EngiSolveAI brand, general software, reusable code, templates, methods, workflows, algorithms, system architecture, know-how and documentation belong to EngiSolveAI or its licensors.

“Background Materials” means intellectual property developed or acquired independently of a particular customer project.

EngiSolveAI retains ownership of all Background Materials.

Ownership or licensing of custom deliverables will be stated in the relevant order or statement of work.

Unless the applicable order states otherwise:

  1. you retain ownership of Customer Data;
  2. EngiSolveAI retains ownership of Background Materials;
  3. on full payment, you receive a perpetual, non-exclusive licence to use custom deliverables for your internal purposes; and
  4. third-party components remain subject to their own licence terms.

No ownership transfers until all applicable fees have been paid.

  1. Feedback

Where you voluntarily provide suggestions, comments or product feedback, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback to improve our Services.

This does not permit us to disclose your confidential information or use your trade marks without permission.

  1. Third-party services and AI models

AI Products may connect to or rely on third-party services, including:

  • AI model providers;
  • cloud-hosting providers;
  • email platforms;
  • customer-relationship management systems;
  • messaging services;
  • payment providers;
  • data sources;
  • software APIs; and
  • engineering or business software.

Your use of a third-party service may be subject to that provider’s terms, policies, charges and usage limits.

We are not responsible for changes, outages, discontinued functionality, data practices or restrictions imposed by a third-party provider.

Where a third-party change materially affects a Service, we may modify the integration, propose an alternative or terminate the affected part of the Service on reasonable notice.

  1. Support, maintenance and updates

Support and maintenance are provided only where included in the applicable order.

We may issue updates to:

  • improve functionality;
  • correct defects;
  • address security risks;
  • comply with law;
  • respond to third-party changes; or
  • prevent misuse.

An update may change the appearance, workflow or behaviour of a Service.

We will use reasonable efforts to avoid materially reducing paid core functionality during an active subscription, except where necessary for security, legal compliance or third-party compatibility.

  1. Availability

We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability.

Services may be unavailable because of:

  • planned maintenance;
  • emergency maintenance;
  • internet or telecommunications failures;
  • cloud-provider outages;
  • third-party API failures;
  • cybersecurity incidents;
  • customer systems;
  • force majeure events; or
  • circumstances outside our reasonable control.

Any specific service-level commitment must be stated in a signed service-level agreement.

  1. Suspension

We may suspend access to a Service where reasonably necessary to:

  1. address a security risk;
  2. prevent unlawful or abusive activity;
  3. protect systems, customers or third parties;
  4. investigate a suspected breach;
  5. comply with a legal obligation;
  6. respond to overdue payment; or
  7. prevent usage beyond agreed limits.

Where reasonably practicable, we will provide notice and an opportunity to remedy the issue.

  1. Acceptance of custom deliverables

Any formal acceptance process will be stated in the applicable order.

Where no process is stated, you must review a deliverable and notify us of any material failure to meet the agreed specification within 10 business days.

Your notice must contain enough detail for us to investigate the issue.

A deliverable will be treated as accepted where:

  1. you confirm acceptance;
  2. you use it in production;
  3. you distribute or commercially deploy it; or
  4. the review period expires without a valid rejection notice.

Acceptance does not affect rights that cannot lawfully be excluded.

  1. Warranties

We warrant that paid services will be performed with reasonable care and skill.

We do not warrant that:

  • an AI Product will always produce accurate outputs;
  • every defect will be corrected;
  • the Services will satisfy requirements not included in the agreed scope;
  • a Service will be compatible with every system;
  • predicted commercial savings or performance improvements will be achieved;
  • third-party services will remain available; or
  • use of the Services will remove the need for professional review, validation or testing.

Nothing in these Terms affects warranties or statutory rights that cannot lawfully be excluded.

  1. Liability to consumers

This section applies where you are acting as a consumer.

We are responsible for losses that are a foreseeable result of our breach of contract or failure to use reasonable care and skill.

We are not responsible for losses that were not foreseeable when the contract was formed.

We do not exclude or limit liability where doing so would be unlawful, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • breach of consumer rights that cannot be excluded.

The Services are primarily intended for personal use or the expressly agreed purpose. We are not responsible to consumers for business losses such as loss of profit, business interruption or loss of business opportunity.

  1. Liability to business customers

This section applies where you are acting in the course of business.

Nothing in these Terms excludes or limits liability for:

  1. death or personal injury caused by negligence;
  2. fraud or fraudulent misrepresentation;
  3. deliberate default; or
  4. any liability that cannot legally be excluded.

Subject to the preceding paragraph, neither party will be liable for:

  • loss of profit;
  • loss of revenue;
  • loss of anticipated savings;
  • loss of business opportunity;
  • loss of goodwill;
  • loss arising from business interruption; or
  • indirect or consequential loss.

Subject to the exclusions above, EngiSolveAI’s total aggregate liability arising from an order will not exceed 100% of the fees paid or payable under that order during the 12 months preceding the event giving rise to the claim.

The liability cap should be replaced by any different cap stated in the applicable order.

You are responsible for maintaining appropriate insurance, backups, human review, professional oversight and business-continuity arrangements.

  1. Business-customer indemnity

Where you are a business customer, you will indemnify EngiSolveAI against third-party claims, losses and reasonable costs arising from:

  1. Customer Data that infringes third-party rights;
  2. your unlawful use of the Services;
  3. your deployment of an AI Product contrary to agreed restrictions;
  4. your failure to obtain required notices, permissions or consents; or
  5. your use of an output without required professional or human review.

This indemnity does not apply to the extent that a claim was caused by EngiSolveAI’s breach, negligence or wilful misconduct.

  1. Term and termination

A contract continues for the period stated in the applicable order.

Either party may terminate immediately by written notice where the other party:

  1. commits a material breach that cannot be remedied;
  2. fails to remedy a remediable material breach within 30 days after written notice;
  3. becomes insolvent or ceases business; or
  4. uses the Services unlawfully or in a way that creates a serious security or safety risk.

Termination for convenience is available only where stated in the applicable order or required by consumer law.

  1. Effect of termination

On termination:

  • your right to access the affected Service ends;
  • outstanding fees become payable;
  • each party must return or delete confidential information where required;
  • we may delete Customer Data after the stated retention period;
  • accrued rights and liabilities remain unaffected; and
  • provisions intended to survive termination will continue.

You are responsible for exporting required Customer Data before the Service ends, unless the applicable order states otherwise.

  1. Website content

Website content is provided for general information and does not constitute engineering, legal, financial or other professional advice.

We may update, remove or correct website content without notice.

You may view and print website pages for your internal, non-commercial use. You must not reproduce, republish or commercially exploit substantial website content without permission.

  1. Links to other websites

The website may contain links to third-party websites.

Links are provided for convenience and do not imply endorsement. We are not responsible for third-party websites, content, products, security or privacy practices.

  1. Trade marks

“EngiSolveAI”, its logos and related branding are trade marks or trading identifiers of EngiSolveAI.

You may not use our branding in a way that suggests endorsement, partnership or affiliation without prior written permission.

  1. Complaints

Please send complaints to:

Email: info@engisolveai.com
Please include:

  • your name and contact details;
  • the relevant order or account;
  • a description of the issue;
  • supporting information; and
  • the resolution you are seeking.

We will aim to acknowledge complaints within five business days and provide a substantive response within 20 business days.

  1. Changes to these Terms

We may update these Terms to reflect:

  • changes to the Services;
  • legal or regulatory developments;
  • security requirements;
  • changes to third-party systems; or
  • reasonable changes to our business practices.

The updated Terms will be published with a revised effective date.

Where a change materially affects an active paid Service, we will provide reasonable notice unless an immediate change is required for legal or security reasons.

Changes will not retrospectively remove accrued rights.

  1. Events outside reasonable control

Neither party is responsible for delay or failure caused by events outside its reasonable control, including natural disasters, war, civil disorder, industrial disputes, utility failures, internet failures, cyberattacks, epidemics, government action or failure of critical suppliers.

The affected party must take reasonable steps to reduce the impact.

This section does not excuse payment obligations for Services already supplied.

  1. Assignment

You may not transfer your rights or obligations without our prior written consent, which will not be unreasonably withheld in a business transaction.

We may transfer our rights and obligations as part of a corporate reorganisation, financing, merger or sale of business, provided this does not reduce consumer protections.

  1. No partnership or agency

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency between you and EngiSolveAI.

Neither party may bind the other unless expressly authorised in writing.

  1. Entire agreement

For business customers, the applicable order, these Terms and documents expressly incorporated into them constitute the entire agreement relating to their subject matter.

Neither party relies on a statement not included in the agreement, except that nothing limits liability for fraud or fraudulent misrepresentation.

This section does not restrict consumer rights relating to information provided before a contract is formed.

  1. Severability

Where any provision is found to be invalid or unenforceable, it will be modified to the minimum extent necessary or, where modification is not possible, removed.

The remaining provisions will continue in effect.

  1. Waiver

A delay or failure to exercise a right does not waive that right.

A waiver is effective only when given in writing and applies only to the circumstances for which it was given.

  1. Third-party rights

Unless expressly stated otherwise, no person other than you and EngiSolveAI has a right to enforce these Terms.

  1. Notices

Formal notices must be sent by email or post to the contact details stated in the applicable order or in section 1.

A notice is treated as received:

  • when delivered by hand;
  • on the next business day after email transmission, provided no delivery failure is received; or
  • two business days after posting within the United Kingdom.
  1. Governing law and jurisdiction

These Terms and any non-contractual disputes are governed by the laws of England and Wales.

Where you are a business customer, the courts of England and Wales have exclusive jurisdiction.

Where you are a consumer, the courts of England and Wales will have jurisdiction, but this does not prevent you from using any court or consumer protection available to you under mandatory applicable law in the part of the United Kingdom or other country where you live.
